Our total fee and disbursement for registering and setting up a new company (Sdn Bhd) with SSM Malaysia includes:

  1. One name search with SSM (additional name search cost RM80.00 per name)
  2. Company Common Seal
  3. 50 piece of share certificate
  4. One minute and register book of the company.
  5. 2 sets Certified True Copy company Super Form (Section 14)
  6. Use of our office as your registered office (Free of charge)

What we need from you:

  • Proposed name of new company
  • Business activities of the new company
  • Photocopy of all directors’ & shareholders’ I/C or Passport
  • Latest residential addresses of all directors (if different from IC)
  • Email Address all Directors
  • Paid-up capital
  • Percentage of shareholding of each shareholders

What you need to know:

Before starting a business or registering your new company with SSM:

  1. Think about your company’s new name
  2. You need 2 directors who are residing in Malaysia
  3. You need 2 shareholders in the Company
  4. If you want to apply MOF license, make sure your company has paid-up capital of at least RM2,500
  5. Think about which banker you would like to maintain your new company bank account
  6. Get ready your yearly maintenance charges for your new company. Estimated fees for company having turnover of RM500k
    • Secretarial & SSM filing fee    RM1,000
    • Audit fee                           RM2,440
    • Tax filing fee                       RM  950
  7. You need to prepare a full set of accounts for audit purposes
  8. To open income tax file with Lembaga Hasil Dalam Negeri (LHDN) once the company start to issue bill / invoice
  9. To register with LHDN as Employer (E number) when you start to employ staff
  10. Contribute EPF and SOCSO for your staff is a statutory requirements
  11. If you are paying your staff more than RM3,000 per month, deduct PCB (Potogan Cukai Bulanan or Scheduled Monthly Tax Deduction) from their pay and remit to LHDN
  12. If you are withdrawing director’s salary from the company, you are required to contribute EPF and SOCSO for yourself.  It is not necessary to contribute EPF and SOCSO if you are withdrawing director’s fee from the company.
  13. Apply service tax license with Jabatan Kastam Diraja Malaysia (JKDM) if you are providing professional or consultancy services to your clients
  14. Apply sales tax license with Jabatan Kastam Diraja Malaysia (JKDM) if you are involved in manufacturing activities
  15. Think about getting trading / signboard licenses from local authorities/governments (DBKL, MBPJ, MBSJ, MBAJ, etc…) before opening your shop/office

Secretarial Services

  • Malaysia Companies Act, 1965 required all companies to have at least one Company Secretary and that company secretary must be a natural person and a resident in Malaysia and is a member of any one of the prescribed professional bodies or licensed by the Suruhanjaya Syarikat Malaysia (SSM).We provide a full range of Company’s secretarial services and our secretarial fee is RM60 per month which is payable in advance every half yearly.Standard secretarial functions as follows:
    • Acting as a registered company secretary function of the company
    • Free of charge for use our office as your registered office – to keep all the records up to date and register any changes made by the company. The Companies Act required that the register book, minute book, share certificates and common seal to be kept at the Company’s registered office.
    • Preparation of Board Resolution in relation to bank transactions & normal business acquisition or disposal
    • Preparation of all documents for the Annual General Meeting (AGM)
    • Annual return submission to SSM
